Terms of Service

By signing up for or using OffsiteAI ("the Service"), you agree to these Terms of Service. If you don't agree, don't use the Service. The Service is operated by OffsiteAI LLC, an Arizona limited liability company (Arizona Entity Number 25050665, EIN 42-2037550).

1. Who We Are

OffsiteAI provides AI-powered chatbot and CRM software to contractors and small businesses. The Service is operated by OffsiteAI LLC, an Arizona limited liability company (Arizona Entity Number 25050665, EIN 42-2037550; sole member: Benjamin Brainard). Contact: team@offsiteai.io. 2. Account Eligibility

You must be at least 18 years old and authorized to bind your business to these terms. You're responsible for keeping your account credentials secure.

3. Subscription & Payment

• OffsiteAI is offered on a monthly subscription. Plans and pricing are listed at offsiteai.io/services.
• Payment is processed via Stripe and charged at the start of each billing period.
• You can cancel anytime from the CRM Settings page or by emailing team@offsiteai.io.
• Cancellation takes effect at the end of your current billing period — no partial refunds for unused time, but you can keep using the Service until then.

4. Acceptable Use

You agree NOT to use OffsiteAI to:

• Send spam, unsolicited messages, or anything that violates the TCPA or CAN-SPAM Act.
• Impersonate other businesses or individuals.
• Collect data from people who haven't consented (your customers must knowingly engage with the chatbot).
• Scrape, reverse-engineer, or attempt to reverse-engineer the Service.
• Resell OffsiteAI as your own product without written permission.
• Run illegal businesses, gambling, adult content, or any business that violates local laws.

We reserve the right to suspend or terminate accounts that violate these terms.

4a. SMS Messaging Compliance (TCPA / CTIA)

• Consent. You may only SMS people who have explicitly opted in via a checked box adjacent to the phone-number field or via a written agreement. The chat widget's opt-in checkbox is unchecked by default and the submit button is disabled until the visitor checks it; you must not bypass or disable this UI.
• STOP / HELP. OffsiteAI honors the mandatory keywords on your behalf. Customer replies of STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT will opt that phone out; replies of HELP or INFO return a short identification message; replies of START, UNSTOP, SUBSCRIBE, or RESUBSCRIBE re-subscribe. You may not circumvent these. (Note: "YES" is reserved for appointment confirmation flows and does not re-subscribe an opted-out number; only the explicit re-subscribe keywords above do.)
• Prohibited content (SHAFT). You may not use SMS through OffsiteAI to promote or discuss Sex, Hate, Alcohol, Firearms, Tobacco, gambling, or controlled substances. OffsiteAI may block or flag content that matches SHAFT patterns and may suspend accounts that repeatedly attempt such content.
• Identification. Your first SMS to a new customer must identify your business by name (the chatbot-generated defaults already do this).
• Message frequency & charges. You must surface "Msg & data rates may apply. Message frequency varies." in the opt-in disclosure. The default chat-widget consent text meets this requirement.
• Record-keeping. For every opt-in event we store the normalized phone number, the exact disclosure text the customer saw, a disclosure-version tag, the source (e.g. widget_checkbox_v2), the IP address of the customer's browser, their User-Agent string, and a UTC timestamp. These rows are retained for the life of your account plus four years (federal record-keeping). They are available to you on request via your account export at /api/my-org/export if you need to respond to a TCPA complaint or carrier audit.
• Your liability. You indemnify OffsiteAI LLC against any TCPA / CAN-SPAM / CTIA claim arising from SMS you send through the Service to recipients who were not opted in or who had opted out.

5. Your Content & Data

You own your data — contacts, deals, conversations, etc. We just store it for you. By using OffsiteAI, you grant us a limited license to process your data only as needed to provide the Service.

You're responsible for the accuracy of your business info (services, pricing, hours). The chatbot only quotes what you tell it.

6. How the Widget Works on Your Website

When you paste our snippet on your site, it loads a small script (served from offsiteai.io) that injects an isolated iframe containing the chat interface. The iframe follows the browser's same-origin policy — it can only communicate with our servers and send display-size messages to your page (so the chat bubble can resize). We never request access to your website's source code, hosting, or admin accounts.

The widget collects only what your visitor types or voluntarily provides (name, phone, email, project details) and your site's URL and page title for context. See our Privacy Policy for details.

7. Subprocessors

To provide the Service, we rely on the following trusted third parties. Each is industry-standard and bound by their own security and privacy commitments:

• Third-party AI model providers — power the AI model that drives chatbot conversations. Conversations are processed under their commercial terms (not used to train their models).
• Stripe — payment processing. We never see or store your card number.
• SendGrid (Twilio) — transactional email delivery (password resets, lead notifications, feedback).
• Twilio — SMS delivery for appointment reminders and lead alerts.
• Railway — application hosting and PostgreSQL database. All data at rest is encrypted.
• Google — optional calendar sync if you connect Google Calendar.

We'll notify active customers by email if we add a new subprocessor that handles customer data.

8. AI Disclaimer

OffsiteAI uses third-party AI to power chatbot responses. While we work hard to keep the AI accurate and aligned, AI can occasionally make mistakes. You agree to:

• Review chatbot conversations regularly.
• Not solely rely on AI-generated quotes as legally binding contracts.
• Always confirm major commitments (large quotes, scheduling) with the customer directly.

OffsiteAI is not liable for inaccurate quotes, mis-scheduled appointments, or any business decisions made based on AI output. Use the AI as a tool, not as a replacement for your judgment.

9. Service Availability

We work to keep OffsiteAI available 24/7 (see our status page) but we can't guarantee 100% uptime. We're not liable for downtime, lost leads during outages, or other indirect damages — though we'll always try to make outages right.

10. Privacy

Our use of your data is governed by our Privacy Policy. By using the Service you agree to that policy.

11. Cancellation & Termination

• You can cancel anytime — no questions asked.
• We can terminate accounts that violate these terms or that are inactive for more than 12 months after cancellation.
• You can export your data anytime before cancellation from Settings (or via GET /api/my-org/export as owner/admin). After cancellation, email team@offsiteai.io within the 30-day deletion grace window to request a copy — we'll fulfill within 7 business days. After the 30-day grace window, personally identifiable data is permanently anonymized.

You agree to indemnify and hold harmless OffsiteAI from any claims, damages, or expenses arising from:

• Inaccurate business information you provided.
• Your own services, products, or customer interactions.
• Any dispute between you and your customers.

14. Changes to Terms

We may update these terms periodically. Material changes will be announced via email at least 30 days in advance. Continued use after changes means you accept them.

15. Governing Law

These terms are governed by the laws of the State of Arizona, United States. Any disputes will be resolved in Maricopa County, Arizona courts.
